Uncover Local Store, Inc. Virtual Market Terms and Conditions for Sellers and Buyers

Welcome to the Uncover Local Store, Inc. (“Uncover Local” or “the Platform”) a service that connects buyers (“Buyers”) with independent makers, artists, artisans and small-batch businesses (The “Sellers”). By accessing or using the Platform, you agree to these Terms and Conditions, which govern your use of the Platform.

1. Overview of the Platform

The Platform serves as a digital venue designed to promote, connect, and support independent Sellers by offering them a space to showcase their products and services. Buyers may discover, engage  and interact directly with Sellers. It is important to understand that while Uncover Local may visually resemble a marketplace, all sales, including payments, shipping, and returns, are handled directly by the Seller. 

Uncover Local Store Inc. (“we,” “us,” or “the Platform”) does not participate in or facilitate any part of the transaction process beyond providing the technological means for Sellers to display their offerings and Buyers to shop directly with the Sellers. The Platform includes a special feature for Premium Members and Virtual Market Vendors, allowing a “Shop directly with the maker” button on product pages. This button links Buyers directly to the Seller’s chosen URL, where transactions are completed.

Specifically, Uncover Local:

  • Does not own, store, or sell any products listed on the Platform.
  • Does not provide a shopping cart, checkout process, or payment processing services.
  • Does not handle or facilitate shipping, delivery, or any logistical aspects of the transaction.
  • Does not assume any responsibility or liability for the accuracy of product listings, pricing, promo codes, discounts or availability provided by Sellers.

All transactions, including but not limited to payment, shipping, delivery, returns, and refunds, are conducted solely between Buyers and Sellers. By using the Platform, you acknowledge that Uncover Local acts only as an intermediary, providing the infrastructure for Sellers to present their products and for Buyers to engage with those Sellers.

We are not responsible for:

  • Verifying the quality, safety, legality, or accuracy of the products and services listed by Sellers.
  • The content, terms, or conditions of any contracts or transactions entered into between Buyers and Sellers.
  • Any disputes, claims, or issues that arise from transactions, including but not limited to non-delivery, defective products, payment disputes, or disagreements regarding terms.

Furthermore, the Platform does not make any representations or warranties concerning the reliability or legitimacy of any Sellers or the products they offer. Buyers and Sellers are fully responsible for ensuring the accuracy, legality, and enforceability of their own respective transactions.

2. No Involvement in Transactions

Uncover Local’s role is limited to providing a platform for Sellers to display their products and services. Uncover Local is not involved in any aspect of the transaction between Buyers and Sellers. 

Specifically:

  • No Checkout or Payment Processing: The Platform does not facilitate payment or provide a shopping cart or checkout process. Buyers and Sellers are responsible for arranging payment independently. 
  • No Product Ownership: The Platform does not own, hold, sell, or have possession of any products listed on the Platform by the Sellers.
  • No Shipping or Delivery: The Platform is not responsible for shipping, delivery, or any logistics related to products sold through the Platform. All logistics related to shipping, delivery, and returns are the sole responsibility of the Seller.

3. Seller Responsibilities

As a Seller on the Virtual Market at Uncover Local Platform, you acknowledge and agree that you are solely responsible for the following obligations:

3.1. Accurate Product Listings
As a Seller, you assume full responsibility for providing complete, accurate, and truthful information regarding your products or services. This includes, but is not limited to, ensuring the accuracy of product descriptions, pricing, availability, return and exchange policies, and providing valid URLs that direct Buyers to an external website or platform for the purpose of completing transactions. You are obligated to regularly review and update this information to reflect any changes, ensuring that all details remain current, accurate, and consistent with your external website. The Platform disclaims all responsibility for any discrepancies, inaccuracies, or errors in product listings, as well as any issues, disputes, or claims that may arise between Sellers and Buyers as a result of such discrepancies.

3.2. Accurate URL Link for the “Shop Directly with the Maker” Button (The Premium Button)

As a Seller, you are solely responsible for providing an accurate and valid URL that directs Buyers to either the product landing page or the checkout page on your website, or any third-party platform through which you conduct sales. The URL must remain functional and enable Buyers to complete purchases directly with you. The Platform bears no liability for any inaccuracies, errors, or technical issues associated with the URL provided by the Seller. It is the Seller’s obligation to ensure that the URL remains accurate and operational throughout the duration of the listing.

3.3. Virtual Market Participation
Uncover Local may organize Virtual Market events where Sellers, upon approval as Vendors, can promote their products and offer promotional codes to Buyers. These promotional codes must remain active and valid for the duration of the event, which typically lasts 12 days. Sellers are responsible for independently managing, updating, or canceling promotional codes in line with their sales strategies. However, all promotional information on the Platform must be consistent with the Seller’s business website to ensure a seamless purchasing experience for Buyers. Additionally, if a Seller offers promotional codes, it is their responsibility to provide clear and accurate Terms and Conditions associated with those codes, ensuring Buyers are fully informed.

3.4. Shop Setup and Business Information

Uncover Local provides Sellers with a dashboard to independently list their products and manage their store profiles. As a Seller, you are solely responsible for the setup, accuracy, and ongoing maintenance of your shop on the Platform. This includes, but is not limited to, all business information, product details, policies, and any other content you choose to share publicly for the purpose of engaging Buyers and establishing trust and transparency. You are required to ensure that the business information displayed on the Platform is accurate, complete, and consistent with the information presented on your external website or any other sales platform you utilize. Any inconsistencies, inaccuracies, or omissions in your business information that result in Buyer confusion or disputes are your responsibility, and the Platform disclaims any liability for issues arising from such discrepancies. 

3.4. Buyer Communication
Sellers are solely responsible for maintaining timely, professional, and clear communication with Buyers. This includes, but is not limited to, promptly responding to inquiries, addressing concerns, and providing appropriate customer service. Such communication may occur through the Platform, the Seller’s own website, or any other third-party platform where the Seller conducts sales. Sellers are expected to ensure that their interactions with Buyers comply with all applicable laws and consumer protection standards. We encourage Sellers to act in good faith when addressing any issues or disputes that may arise regarding their products or services, aiming to provide a positive experience for Buyers.

3.5. Handling Transactions
Sellers are solely responsible for managing all aspects of their transactions, including but not limited to payment processing, shipping, handling returns and issuing refunds where applicable. These responsibilities must be handled independently of the Platform, as the Platform does not participate in or facilitate any part of the transaction process. It is the Seller’s duty to ensure that all transactions are completed and executed properly and in a timely manner, in compliance with applicable laws and any agreements established with Buyers.

3.6. Compliance with Laws
You are responsible for complying with all applicable laws and regulations, including but not limited to those related to taxes, consumer protection, data privacy, and product safety.

4. Buyer Responsibilities

By accessing or using the Platform, whether as a registered Buyer, unregistered Buyer, or simply navigating the Platform without making purchases (The “Visitor”), you acknowledge and agree to the following responsibilities and limitations:

4.1. Reviewing Product Listings and Seller Information

It is the sole responsibility of both registered and unregistered Buyers to thoroughly review all product listings and Seller-provided information before making any purchasing decisions. This includes, but is not limited to, verifying the accuracy of product descriptions, pricing, stock availability, delivery times, return, exchange, and refund policies, and any other terms specified by the Seller. Buyers acknowledge and accept that the Platform does not validate, verify, or endorse any product information or Seller-provided terms. The Platform serves only as an intermediary to facilitate interactions between Buyers and Sellers.

Buyers must also carefully review and ensure that the information provided by the Seller on the Platform aligns with what is displayed on the Seller’s external website after using the “Shop Directly with the Maker” button (the “Premium Button”).By making a purchase, Buyers assume all responsibility for ensuring that they have carefully reviewed and understood the relevant details provided by the Seller. Buyers acknowledge that all transactions are undertaken at their own risk, including, but not limited to, the risk that the product may not meet expectations, that the product may not be delivered on time, or that issues may arise during or after the transaction. Buyers agree that any disputes, claims, or issues that arise as a result of inaccurate or incomplete product listings must be resolved directly with the Seller. The Platform is not liable for any discrepancies, misrepresentations, or omissions in product listings or Seller-provided terms.

Visitors who navigate the Platform without making purchases similarly acknowledge that the Platform does not verify or endorse any Seller-provided information, product listings, or claims. Visitors assume all responsibility for relying on any information presented on the Platform and agree that they will not hold the Platform accountable for any inaccuracies or misleading information.

4.2. “Shop directly with the maker” button (The Premium Button)

By using the “Shop Directly with the Maker” button, Buyers and Visitors are redirected to an external website through a URL provided solely by the Seller. The Platform disclaims all responsibility for any discrepancies, inaccuracies, or misrepresentations that may occur once the Buyer or Visitor is redirected to the Seller’s external site. Buyers and Visitors must verify that the product, pricing, and terms displayed on the Seller’s external site match what was presented on the Platform prior to initiating any transactions.

The Platform is not liable for any errors, technical issues, or discrepancies related to the functionality of the “Shop Directly with the Maker” button or the information presented on the Seller’s external website. Buyers and Visitors acknowledge that any purchase decisions they make are undertaken at their own risk. Any disputes or concerns arising from the use of the “Shop Directly with the Maker” button, including product quality or discrepancies between what was shown on the Platform and the Seller’s external website, must be addressed directly with the Seller. Visitors who navigate the Platform without making purchases similarly acknowledge that the Platform does not verify the accuracy of Seller-provided information or product listings, including those accessed via the “Shop Directly with the Maker” button.

4.3 Direct Communication with Sellers
It is the sole responsibility of the Buyer to communicate directly with Sellers regarding all product-related inquiries, including but not limited to payment terms, shipping arrangements, and any questions relating to returns, exchanges, or refunds. This responsibility also extends to products accessed through the “Shop Directly with the Maker” button. While the Platform provides a medium through which Buyers may contact Sellers, it does not mediate or intervene in communications between Buyers and Sellers. The Platform expressly disclaims any liability for miscommunications, delays, or disputes that may arise from these interactions. Buyers and Visitors are responsible for ensuring that all communications with Sellers are clear, comprehensive, and documented where necessary to facilitate the resolution of any issues. Any disputes, concerns, or issues arising from the transaction, including but not limited to product quality, delivery, exchanges or refunds, must be addressed and resolved directly between the Buyer and the Seller, even if the transaction was initiated through the “Shop Directly with the Maker” button. The Platform disclaims all liability for any disputes, delays, or misunderstandings that may result from Buyer-Seller communications or the resolution of such issues.

4.4. Due Diligence and Assumption of Risk

Buyers and Visitors are solely responsible for conducting due diligence before entering into any transaction with Sellers, particularly when redirected to a Seller’s external website through the “Shop Directly with the Maker” button or other links on the Platform (e.g., social media or website links). This includes verifying the Seller’s reputation, accuracy of product descriptions, pricing, promo codes,  availability, and ensuring the information on the Seller’s external website matches what is provided on the Platform. Buyers and Visitors must ensure that all details meet their expectations before completing any transaction 

The Platform expressly disclaims any responsibility for verifying or endorsing the quality, safety, legality, or authenticity of the products, services, or Sellers listed. While we make reasonable efforts to review Sellers who register through our memberships, we cannot guarantee the accuracy or completeness of the information provided on the Platform. Buyers and Visitors acknowledge that they assume all risks associated with relying on Seller-provided information.

Buyers accept all risks associated with transactions initiated via the Platform, including but not limited to purchasing products that may not meet expectations, shipping delays, or disputes over payments or refunds. The Platform is not liable for product defects, non-delivery, or any other issues that may arise during the transaction.By using the Platform, Buyers acknowledge and accept these responsibilities and the limited role of the Platform, which serves only as a venue for connecting Buyers and Sellers. The Platform is not a party to any transactions and disclaims all liability for any losses or disputes arising from transactions between Buyers and Sellers.

5. Platform’s Limited Role and Disclaimer of Liability

Uncover Local Store Inc. functions solely as a platform that facilitates connections between Buyers and Sellers. Our role is strictly limited to providing the technical infrastructure for Sellers to list their products and for Buyers to explore and discover them. Accordingly:

  • No Endorsement: We do not endorse, verify, or guarantee any products, Sellers, or the outcome of any transactions that take place on the Platform.
  • No Liability for Transactions: We are not responsible or liable for any disputes, issues, or losses arising from transactions between Buyers and Sellers. This includes, but is not limited to, payment disputes, shipping delays, product defects, or dissatisfaction with goods or services.
  • No Warranty: The Platform provides no warranties, express or implied, regarding the products or services listed by Sellers.


The Platform acts solely as a digital venue where Buyers and Sellers can connect and engage in transactions, including transactions initiated through the “Shop Directly with the Maker” button. The Platform does not own, store, sell, or manage any products listed by Sellers and does not participate in the transaction process, including payment, shipping, returns, or refunds. The Platform disclaims any and all liability arising from interactions, disputes, or transactions between Buyers and Sellers, including but not limited to transactions initiated through the “Shop Directly with the Maker” button.

All transactions, including those accessed via the “Shop Directly with the Maker” button, are undertaken solely between the Buyer and Seller, and the Platform bears no responsibility for the outcome of any transaction. Buyers and Visitors understand and agree that the Platform is not liable for any discrepancies between the information presented on the Platform and the information displayed on the Seller’s external website after clicking the “Shop Directly with the Maker” button. Buyers and Visitors are responsible for verifying that all product information, pricing, promo codes and terms are accurate before completing any purchase.

Buyers and Visitors further agree that by using the Platform, our tools and the “Shop Directly with the Maker” button, they waive any claims against the Platform for issues, losses, or damages that may arise from their interactions with Sellers. Buyers and Visitors are encouraged to carefully review all Seller-provided information on both the Platform and the Seller’s external website and to exercise caution when engaging in transactions.

6. User Accounts

To access certain features of the Platform, Sellers, Buyers and Visitors (The “Users”) may be required to create a User account. By creating an account, Users agree to the following terms and conditions:

6.1. Providing Accurate Information
When registering for an account, Users are required to provide accurate, complete, and up-to-date information, including but not limited to name, contact information, and any business-related details. Users acknowledge that they are responsible for ensuring the information remains accurate and agree to promptly update their account if any changes occur. Failure to provide or maintain accurate information may result in the suspension or termination of the User’s account.

6.2. Account Security and Liability
Users are solely responsible for maintaining the confidentiality of their account login credentials, including usernames and passwords. Any activity conducted through the User’s account will be considered to have been authorized by the account holder. Therefore, Users agree to accept full liability for all actions performed under their account, including any transactions, communications, or listings. The Platform disclaims any liability for unauthorized access to User accounts resulting from the User’s failure to safeguard login credentials. Users agree to notify the Platform immediately upon discovering any unauthorized use or security breach related to their account.

6.3. Compliance with Platform Rules and Policies
By creating an account, Users agree to comply with all rules, guidelines, and policies set forth by the Platform, including but not limited to those concerning prohibited products, unlawful conduct, intellectual property rights, and community standards. Users must use the Platform in a manner that is lawful and consistent with the terms of this agreement. Failure to comply with the Platform’s policies may result in account suspension, termination, or other remedial actions at the discretion of the Platform.

6.4. Account Termination and Suspension
The Platform reserves the right to suspend or terminate any User account, at its sole discretion, if it determines that a User has violated these Terms and Conditions, engaged in prohibited conduct, or otherwise acted in a manner that could harm the integrity or reputation of the Platform. The Platform also reserves the right to deny future access to any User whose account has been suspended or terminated.

6.5. Third-Party Accounts
Users may have the option to create an account using third-party services (e.g., Google). By doing so, Users acknowledge that the Platform may receive information from these third-party providers in accordance with their privacy policies. Users are responsible for ensuring that their third-party login credentials are secure, and the Platform disclaims any liability arising from the misuse of third-party accounts linked to the Platform.

7. Prohibited Activities


All Users of the Platform, whether Buyers, Sellers, or Visitors, agree to use the Platform in a lawful and ethical manner. By accessing or utilizing the Platform, Users agree not to engage in any of the following prohibited activities. Violations of these provisions may result in account suspension or termination, legal action, or other penalties deemed appropriate by the Platform.

7.1. Compliance with Laws and Regulations
Users shall not engage in any activity that violates local, national, or international laws, regulations, or third-party rights while using the Platform. This includes, but is not limited to, laws related to consumer protection, product safety, advertising, intellectual property, and data privacy.

7.2. Fraudulent or Deceptive Practices
Users are prohibited from engaging in fraudulent, deceptive, or misleading practices. This includes, but is not limited to, the misrepresentation of products or services, providing false or inaccurate information, engaging in false advertising, or attempting to defraud Buyers, Sellers, or the Platform in any manner.

7.3. Listing or Selling Prohibited Products
Sellers agree not to list, sell, or offer any products or services that are illegal, hazardous, counterfeit, stolen, or otherwise prohibited by law or by the Platform’s policies. This includes, but is not limited to, items that are restricted under local, national, or international laws, such as controlled substances, weapons, or counterfeit goods. The Platform reserves the right to remove any listings that violate these terms and to take legal action if necessary.

7.4. Impersonation and Misrepresentation
Users shall not impersonate any person or entity, or falsely claim affiliation with any individual, business, or organization, including the Platform. Misrepresenting one’s identity, business credentials, or any other material information for the purpose of misleading Buyers, Sellers, or the Platform is strictly prohibited.

7.5. Distribution of Harmful Content
Users are prohibited from using the Platform to distribute or transmit any form of harmful, malicious, or unlawful content. This includes, but is not limited to, the distribution of spam, malware, viruses, Trojan horses, or any other content that could disrupt, damage, or interfere with the proper functioning of the Platform or the devices and systems of other Users. Users may not use the Platform to promote any harmful, abusive, or illegal activities.

7.6. Intellectual Property Violations
Users shall not infringe on the intellectual property rights of others, including but not limited to copyrights, trademarks, patents, or trade secrets. The unauthorized use or reproduction of content, designs, logos, or proprietary materials belonging to third parties without proper authorization is prohibited.

7.7. Exploitation of Platform Resources
Users may not use automated tools, bots, or scripts to scrape, harvest, or extract data from the Platform, nor may they engage in any activity that seeks to exploit the Platform’s resources or interfere with the Platform’s operation in any way. Attempts to bypass security measures, overload the Platform, or disrupt its normal operations will result in immediate action, including potential legal consequences.

7.8. Unlawful Harassment and Harmful Conduct
Users are prohibited from engaging in harassing, abusive, discriminatory, or otherwise harmful conduct toward other Users, Sellers, Buyers, or Platform representatives. This includes, but is not limited to, hate speech, threats of violence, stalking, or any form of harassment that infringes on the rights of others.

7.9. Legal Consequences for Prohibited Activities
Engaging in any prohibited activities may result in the suspension or termination of User accounts, removal of product listings, and potential legal action, depending on the severity of the violation. Users acknowledge that they may be held legally responsible for violations of these terms, and Uncover Local Store Inc. disclaims any liability for actions taken by Users that violate these provisions.

8. Disputes Between Buyers and Sellers

All disputes, claims, or concerns arising from transactions between Buyers and Sellers must be addressed and resolved directly between the parties involved. The Platform is not liable for mediating, arbitrating, or resolving such disputes. However, at our sole discretion, we may offer tools, resources, or guidance to facilitate communication between Buyers and Sellers in an effort to assist with the resolution of any issues.

9. Virtual Market Seller and Buyer Responsibilities

By participating in the Virtual Market, Sellers and Buyers agree that Uncover Local Store, Inc. is not responsible for the creation, modification, or application of promotional codes, nor is it liable for any disputes arising from their use. Additionally, Uncover Local Store, Inc. is not liable for any technical issues beyond its control and will work diligently to resolve any problems that arise.

9.1. Seller Responsibilities:

  1. Promo Code Accuracy and Functionality
    Sellers participating in the Virtual Market are responsible for ensuring the accuracy and proper functionality of any promotional codes offered during the event. Sellers must ensure that promo codes are correctly configured on their own websites or any third-party platforms they use for transactions. Promo codes should be fully operational and valid for the duration specified by the Seller, and any terms and conditions associated with the codes should be clear and transparent to Buyers.
  2. Flexibility in Promo Codes
    Sellers reserve the right to modify, update, or discontinue any promotional codes at their discretion, even within a single day. This is part of each Seller’s individual sales and discount strategies, and they may adjust their promo codes based on their business needs. Uncover Local Store, Inc. is not responsible for monitoring or enforcing the application of these promo codes, as all decisions regarding discounts and sales are made independently by the Sellers.
  3. Promo Codes discrepancies
    Any discrepancies between the promotional offers listed on the Platform and those available on the Seller’s website are the sole responsibility of the Seller. Uncover Local Store, Inc. disclaims any liability for issues related to promo code discrepancies or functionality.

9.2. Buyer Responsibilities:

  1. Verification of Promo Codes
    Buyers are responsible for verifying that the promotional codes provided by the Sellers work correctly on the Seller’s website or platform. Before completing any purchase, Buyers should ensure that the promo code is applied properly and that the terms of the promotion match the information provided by the Seller on the Platform.
  2. Changes to Promo Codes
    Buyers acknowledge that Sellers have the right to modify or cancel promo codes at any time, and Uncover Local Store, Inc. does not guarantee the availability or functionality of any promotional code. Buyers cannot hold Uncover Local responsible for any changes to promo codes or discounts after they have been initially offered.
  3. Dispute Resolution
    If Buyers encounter issues with a promo code or its application, they are encouraged to contact the Seller directly to resolve the matter. While Buyers may report issues to Uncover Local Store, Inc., it is important to note that the Platform does not control the sales strategies, discounts, or promotional activities of Sellers. Any complaints regarding promo codes or discounts must be directed to the Seller, as Uncover Local acts solely as a venue for connecting Buyers and Sellers.

9.3 Acknowledgment of Technical Limitations During the Virtual Market:

Sellers and Buyers also acknowledge that Uncover Local Store, Inc. utilizes third-party plugins and services to build and maintain the Platform. While we strive to provide a reliable and well-functioning platform, technical issues may occur during the Virtual Market. Uncover Local Store, Inc. cannot be held liable for any interruptions, errors, or malfunctions caused by third-party services or technical failures during the event.

10. Reporting Illegal Listings or fraudulent or fake Shops

Visitors, Buyers, and Sellers are encouraged to assist in maintaining the integrity of the Platform by reporting any listings, products, or Sellers they suspect to be illegal, fraudulent, or in violation of applicable laws.  If you come across any suspicious or unlawful listings, we invite you to notify us immediately.  Your help will ensure a trustworthy environment by reporting any illegal activities or fake shops you may encounter. Uncover Local Store Inc. will investigate all reports and, if necessary, take action, including removing the offending listings or fake Sellers accounts or shops However, Uncover Local Store Inc. is not liable for any illegal or fraudulent activity conducted by Sellers or fraudulent accounts listed on the Platform. While we make every effort to keep the Platform safe, we currently rely on human oversight and do not have automated systems in place to detect such issues. The Platform cannot guarantee the prevention or immediate detection of illegal activities, and we disclaim any liability for failure to do so. Visitors, Buyers, and Sellers acknowledge that any legal claims or actions related to illegal products or fake shops should be directed toward the Seller involved, not Uncover Local Store Inc. 

11. Platform Fees

The Platform does not charge any listing fees, commissions, or referral fees, as all transactions between Buyers and Sellers are conducted independently on the Seller’s own website or through a third-party platform chosen by the Seller. The Platform solely facilitates the connection between Buyers and Sellers.

The Platform offers two membership options: Freemium and Premium. The Freemium membership is provided at no cost, offering access to a limited set of tools and features. The Premium membership is available for a monthly subscription fee of $10.00  or a one-time annual payment of $60.00, granting access to all available tools and features on the Platform. All Premium membership payments are processed securely through our third-party payment provider, Stripe. 

For specific events organized by the Platform, such as the Virtual Market, participation fees are required for Sellers wishing to participate and become Vendors. Sellers are offered two plans that provide different promotional options for their products, which may cover either a one-time participation or multiple event participations. Each plan is accompanied by a corresponding fee, which is clearly communicated to Sellers in advance. Payment for participation in the Virtual Market must be made via Interac e-Transfer. All event-related fees, including those for the Virtual Market, are non-refundable unless otherwise expressly stated. The Platform reserves the right to modify or update membership fees, event fees, and related Terms and Conditions at its sole discretion, with prior notice provided to affected Sellers.

12. Termination of Use

The Platform reserves the right, at its sole discretion, to suspend or terminate any User’s access to the Platform at any time, for any reason, including but not limited to violations of these Terms and Conditions, engagement in prohibited activities, or any conduct deemed harmful to the Platform, its Users, or its business operations. Such termination or suspension may occur without prior notice or liability to the User. Upon termination, Users may lose access to their account and any data or content associated with it, and the Platform disclaims any liability for such loss. Additionally, the Platform reserves the right to take any legal action it deems necessary to protect its interests or the interests of other Users.

13. Privacy Policy

To the fullest extent permitted by law, Uncover Local Store, Inc., its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, whether incurred directly or indirectly, arising out of or in connection with:

  • Your access to, use of, or inability to use the Platform;
  • Any transaction, interaction, or relationship between Buyers and Sellers connected through the Platform;
  • Any products, services, or content listed, sold, or promoted by Sellers via the Platform;
  • Any unauthorized access to or use of our servers and/or any personal information stored therein;
  • Any errors, inaccuracies, or omissions in content made available on the Platform;
  • Any technical issues, system outages, or functionality disruptions, including but not limited to those caused by third-party plugins or external services used to operate and build the Platform.

While we strive to ensure the Platform operates efficiently and without interruption, we cannot guarantee that the tools and features provided will function flawlessly at all times. The Platform may experience technical difficulties, system maintenance, or service interruptions due to factors beyond our control. In such instances, we will make reasonable efforts to address and resolve these issues in a timely manner, but Uncover Local Store, Inc. disclaims any liability for any resulting damages or losses.

The Platform is provided on an “as-is” and “as-available” basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. You acknowledge that your use of the Platform is at your own risk, and Uncover Local Store, Inc. assumes no responsibility for any financial or personal losses arising from your use of the Platform or any technical issues encountered.

15. Indemnification

You agree to indemnify, defend, and hold harmless Uncover Local Store, Inc., its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including but not limited to reasonable legal fees and court costs, arising out of or related to:

  • Your use or misuse of the Platform;
  • Any violation of these Terms and Conditions;
  • Any breach of applicable laws, regulations, or third-party rights;
  • Any disputes or claims arising from transactions, interactions, or relationships between you and any other User, Seller, or Buyer, including but not limited to disputes over product quality, delivery, or payment;
  • Your negligence, fraud, or willful misconduct.

This indemnification obligation will survive the termination of your account or your use of the Platform. Uncover Local Store, Inc. reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You will not settle any matter without the prior written consent of Uncover Local Store, Inc.

16. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on the Platform. Continued use of the Platform after changes have been posted constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of laws provisions. Uncover Local Store, Inc. exists solely to provide a platform for promoting local businesses and supporting the community by offering tools where Sellers can showcase their products, and Buyers can shop directly with makers. As a small business ourselves, we strive to support the local community we live in and serve.

In the event of any disputes, legal actions, or proceedings related to the use of the Platform, we aim to resolve issues through cooperative negotiation. Both parties are expected to act in good faith and make every effort to reach an amicable solution. During the dispute resolution process, both parties agree to maintain strict confidentiality and shall not make any public statements, including on social media or to third parties, about the dispute or its outcome. Failure to adhere to this confidentiality requirement may result in legal action, and such breaches will not be tolerated by Uncover Local Store, Inc. Additionally, any legal fees, costs, or expenses incurred as a result of breaching this confidentiality obligation shall be borne solely by the party responsible for the breach, and Uncover Local Store, Inc. shall not be liable for such costs.

If a resolution cannot be reached, disputes within the monetary jurisdiction of the Small Claims Court of British Columbia shall be exclusively brought before that court. For claims that exceed the small claims limit, the parties agree to pursue alternative dispute resolution methods, such as mediation or arbitration, prior to taking further legal action. In any case, Uncover Local Store, Inc. shall not be liable for any damages exceeding the amount the disputing party has paid in membership fees or the purchase price of the product in question, whichever is applicable. Any legal fees or costs incurred by either party during the dispute resolution process shall not exceed the value of the membership fees paid or the product purchased.

By using the Platform, you consent to the jurisdiction and venue of these courts and waive any objections to inconvenient forum or improper venue. We are committed to providing a positive environment for promoting local makers and supporting local businesses, and we seek to resolve any disputes in a way that reflects our values of community and cooperation.
